Why do you want to create an ntp.conf file, if you don't run ntpd? The
ntpdate init script does have defaults, falling back to:
0.debian.pool.ntp.org 1.debian.pool.ntp.org 2.debian.pool.ntp.org 3.debian.pool.ntp.org
You can also override that in /etc/default/ntpdate, it is a config file.
Maybe you should try and explain what your problem is.
